Subcontract agreement

An unexpected opportunity to provide seo services to a local design/dev agency on a subcontract basis is on my desk. I need to put this together quickly and don't have the time or inclination to turn to an attorney. So, I am reaching out (have I mentioned how much I loathe that cliche?) to my fellow Local Search Pros, hoping to find someone who does subcontract work and is willing to share tips or an example contract.
